M&M Transfers Truck, Bus Unit in ₹525 Crore SML Deal
Mahindra & Mahindra will transfer its Truck and Bus Division to SML Mahindra for ₹525 crore, consolidating commercial vehicle operations under one listed entity to improve efficiency, scale, and long-term growth.
Mahindra & Mahindra (M&M) has sanctioned the divestment of its Truck & Bus Division (MTBD) to its listed subsidiary SML Mahindra Ltd. through a slump sale valued at ₹525 crore, which will witness a huge restructuring of the commercial vehicles division of the group. The idea behind the deal is to integrate the Mahindra truck and bus division within one listed entity, forming a unified commercial vehicles company having a range of products including light, medium, and heavy trucks and buses.
Mahindra is now reorganizing following its takeover of a 58.97% share in SML Mahindra (formerly known as SML Isuzu), which was done in 2025 through Sumitomo Corporation and Isuzu Motors. The recent sale will be the second move by Mahindra to consolidate its commercial vehicle business under one organization for growth and efficiency in its Indian truck and bus industry.

As per the slump sale deal, everything from assets, liabilities, staff, contracts, licenses, and operations of the Mahindra Truck and Bus Division shall be transferred to SML Mahindra. This consolidation in the organization will help the group in making its business of commercial vehicles easier due to reduction in duplication and efficient allocation of resources.
Commenting on this strategic move, CEO and MD of Mahindra Group Anish Shah stated that the deal marks an important strategic milestone for the group in building its Commercial Vehicle business. He highlighted the benefits that would arise due to combining trucks and buses into one single listed company, as it would be focused solely on innovating, providing value to the customers, and being a leader in the Commercial Vehicle segment.
SML Mahindra currently enjoys good success in the mid-range commercial vehicles and buses segment, whereas the Truck and Bus Division of Mahindra operates in heavy trucks. Bringing together these two companies will result in a more diversified product line that can cater to customers in various industries such as freight transport, logistics, public transport, and infrastructure. The merger will also allow for stronger dealer network, better after sales support, and competitiveness with respect to top commercial vehicle manufacturers in India.
The company states that the deal is consistent with Mahindra’s strategy to streamline and simplify the company’s structure, as well as concentrate on core growth areas. In financial year 2025-26, the Truck and Bus division reported earnings of almost ₹2,989 crore, accounting for approximately 2% of the total earnings of Mahindra & Mahindra. The consolidation of these businesses under the umbrella of SML Mahindra will help in realizing economies of scale and further investments in innovation and sustainability.

It is a consolidation which is based on the long-term strategy of the company to establish its commercial vehicle business as one entity. The integration of a commercial vehicle business will make the company more efficient and competitive within the fast-changing market environment. In doing so, the company will strengthen its position in the Indian truck and bus manufacturing industry.
